Terms of Service
These Terms of Service ("Terms") govern your access to and use of the HotelDispatch platform, websites, mobile applications, and related services (collectively, the "Service") provided by HotelDispatch ("HotelDispatch", "we", "us", or "our"). By accessing or using the Service, you ("Customer", "you", or "your") agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing the Service, or using any feature of the platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
2. Description of Service
HotelDispatch provides an operational accountability platform designed for hotel ownership groups, management companies, independent hotels, and brand operators. The Service includes shift management workflows, walkthroughs and inspections, communication and knowledge management tools, performance tracking, and analytics, delivered as a software-as-a-service solution.
3. Account Registration and Security
To use the Service, you must register an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Maintain the security and confidentiality of your account credentials;
- Notify us immediately of any unauthorized access to or use of your account;
- Accept responsibility for all activities that occur under your account.
4. Subscription Plans and Payment
Access to the Service is provided on a subscription basis. Subscription terms, pricing, and feature availability are described on our Pricing page. By subscribing, you agree to pay all applicable fees in accordance with the billing terms in effect at the time the fees become due.
Unless otherwise stated, subscriptions automatically renew at the end of each billing period. You may cancel your subscription at any time, with cancellation taking effect at the end of the current billing period. Fees paid for the current period are non-refundable except as required by law or as expressly stated in your commercial agreement.
5. Customer Data
You retain all rights, title, and interest in and to the data you submit to the Service ("Customer Data"). You grant HotelDispatch a limited license to host, process, and display Customer Data solely as necessary to provide the Service to you. You are responsible for the accuracy, quality, legality, and appropriateness of all Customer Data.
You represent and warrant that you have all necessary rights to submit Customer Data to the Service and that doing so does not violate any third-party rights or applicable laws.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Infringe the intellectual property, privacy, or other rights of any third party;
- Transmit malicious code, viruses, or harmful content;
- Attempt to gain unauthorized access to the Service or other accounts;
- Reverse engineer, decompile, or attempt to derive source code from the Service;
- Resell, sublicense, or otherwise commercially exploit the Service without written authorization;
- Use the Service in any manner that could damage, disable, or impair the platform or interfere with other customers' use of the Service.
7. Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual Property
The Service, including all software, designs, text, graphics, and other content (excluding Customer Data), is owned by HotelDispatch and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
9. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information disclosed in connection with the Service and to use such information only for purposes of performing under these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from a third party.
10. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or factors beyond our control. Enterprise customers may be entitled to specific service level commitments as defined in their commercial agreement.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HOTELDISPATCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless HotelDispatch from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.
14. Termination
You may terminate your subscription at any time by following the cancellation process in your account settings or by contacting support. We may suspend or terminate your access to the Service at any time for any violation of these Terms or for any other reason at our discretion. Upon termination, your right to access the Service will cease, and we will provide a reasonable opportunity for you to export your Customer Data.
15. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which HotelDispatch is incorporated, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.
